By accessing and using SmartConsult's services, including our website, consulting services, Smartsheet integrations, Data Shuttle automations, API development, Bridge workflows, WorkApps solutions, and Data Mesh strategy consulting, you accept and agree to be bound by the terms and provision of this agreement.

2. Description of Services

SmartConsult provides boutique consulting services specializing in:

• End-to-end Smartsheet ecosystem architecture
• Data Shuttle automation development and implementation
• Custom Smartsheet API integrations
• Bridge and WorkApps workflow design and deployment
• Data Mesh strategy consulting
• Training and managed support services
• Discovery calls and strategic planning sessions

3. Service Agreement and Engagement

All consulting engagements are subject to a separate Service Agreement or Statement of Work (SOW) that will detail specific deliverables, timelines, and compensation. Discovery calls are offered as an initial consultation service to assess your needs and determine project scope.

4. Intellectual Property

Custom solutions, integrations, and automation workflows developed specifically for your organization become your property upon full payment. However, SmartConsult retains rights to general methodologies, frameworks, and non-client-specific intellectual property developed during the engagement.

5. Confidentiality

SmartConsult maintains strict confidentiality regarding all client data, business processes, and proprietary information accessed during our engagement. We will sign appropriate Non-Disclosure Agreements (NDAs) as required.

6. Data Security and Privacy

7. Limitation of Liability

SmartConsult's liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

Our services may integrate with third-party platforms including Smartsheet, various APIs, and other software systems. We are not responsible for the availability, functionality, or terms of service of these third-party platforms.

9. Payment Terms

Payment terms will be specified in individual Service Agreements. Discovery calls may be offered at no charge or for a nominal fee as specified during booking. All fees are non-refundable unless otherwise specified in writing.

10. Termination

Either party may terminate an engagement as specified in the applicable Service Agreement. Termination procedures and any applicable fees will be outlined in the specific engagement contract.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where SmartConsult is registered, without regard to conflict of law principles.

12. Changes to Terms

SmartConsult reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
